Terms of Service

Version 1.0 · approved 2026-09-21 · effective 2026-09-21 · owner: Product owner — Jerry Wilson

Version 1.0, approved 2026-09-21. Every operational statement below is checked against the product decisions D01–D25 and the code. Section 6's account eligibility, trial, two-price and pricing-switch terms (decisions D17–D23) are what the signup page acknowledges.

1. The agreement

These terms are between the organisation that opens an eScryber account ("you", "the organisation") and Hyper Chimp Solutions LLC, a California limited liability company at 2108 N Street #9804, Sacramento, CA 95816, United States ("eScryber", "we"). A person who accepts them for an organisation confirms they may bind it.

Recipients — people you send documents to — are not party to these terms. Their use of the signing page is governed by the notice shown there and by the privacy policy.

2. What the service is

eScryber lets your organisation upload documents, place fields, send them to named recipients for electronic signature, and receive the signed result together with a certificate of completion built from a tamper-evident audit trail. It is a tool your organisation operates; you decide what to send, to whom, and what the documents say.

3. Electronic signatures

eScryber is designed to support electronic signatures of the kind recognised by laws such as the U.S. ESIGN Act and UETA: each recipient consents to sign electronically before any signature is accepted; each action is recorded with time, actor and network details; and the completed document carries a certificate describing the chain of events, including a hash of the signed content taken before the certificate pages and any seal were appended.

Whether a particular electronic signature is enforceable depends on the document, the parties, the jurisdiction and how the process was run. eScryber does not give legal advice and does not warrant that any signature meets a legal requirement that applies to you. Some documents are excluded from electronic-signature laws or carry extra requirements — among them wills, codicils and testamentary trusts; adoption, divorce and other family-law instruments; certain real-estate transfers and court filings; and notices of default, repossession, eviction, or cancellation of utilities, insurance or health benefits. eScryber is not designed for those, and you are responsible for deciding whether a document may be signed electronically.

The visual seal placed on completed documents is a mark of the eScryber process. It is not a notarial act and does not certify identity beyond what the audit trail records. Where the operator has enabled it, completed documents may additionally be cryptographically sealed with a detached PKCS#7 signature under the operator's certificate; the certificate of completion says whether one is present and describes it. No conformity to a named signature standard, and no particular display in any PDF reader, is asserted.

4. Your account and your people

  • You are responsible for the people you add to your organisation and the roles you give them. Owners and admins can see and export everything in the organisation.
  • Keep credentials confidential. Two-factor authentication is available and we recommend it.
  • Tell us promptly at security@escryber.com if you believe an account has been compromised.

5. Acceptable use

You may not use eScryber to send unlawful, deceptive or harmful content; to impersonate another person or organisation; to send unsolicited bulk mail; to probe, overload or interfere with the service or another organisation's data; or to collect from recipients information you have no right to collect. We may suspend sending, or an account, where we reasonably believe this section is breached, and we will tell you why unless the law prevents it.

6. Accounts, the trial, plans and payment

Who may open an account

  • Any organisation in the United States — a business, a nonprofit, or any other kind — may create an account and buy a plan at the standard price. No paperwork is asked for beyond a confirmed email address (decision D17). Organisations outside the United States may not open an account at this time.
  • At signup you say what kind of organisation you are. That is a description that decides which explanation the product shows first; it grants no price, no allowance and no benefit. Nonprofit benefits come only from verification (below), which is optional.
  • Existing customers keep the agreements they signed under: a plan bought or granted before these terms took effect keeps its price and its terms until it ends or is changed by you.

The trial

  • Every new organisation starts with a trial: 14 days from the moment the workspace is created, with five envelopes in total for the whole trial (not per month), three sender seats, five templates and 1 GB of storage; standard signing, audit trails and reminders are included, and bulk sending, public forms and advanced administration are not (decisions D18, D19).
  • The trial asks for no payment method and charges nothing. It is not converted to a paid plan automatically; when it ends, sending stops until you choose a plan or, as a verified nonprofit, are approved for Community. Documents already sent can still be signed, and completed documents stay downloadable under the retention policy.
  • There is one trial per organisation. A new account, a second workspace or a change of the organisation's kind does not reset its clock, its allowance or its eligibility; we keep a keyed hash of the mailbox that started a trial and, when the network address was known, a keyed hash of that too, as the privacy policy describes.

Plans and prices

  • Plans are described on the pricing page. Each plan carries a monthly allowance of envelopes — one envelope per document signing round, however many recipients it has — and a number of active senders and a storage allowance, all stated per plan (decisions D01, D03, D05, D16).
  • Allowances are pooled across the organisation. Unused allowance does not roll over.
  • Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the current billing period, and your documents remain readable and downloadable and in-flight signers can finish (decision D04).
  • If a payment fails you have a 7-day grace period, after which new sends and new premium items are blocked until payment succeeds; nothing already sent is affected (decision D04).
  • The same plans are sold at two prices (decisions D20, D21). The standard price is open to any organisation and is charged at checkout like any subscription. The nonprofit price — lower, on every plan — and the free Community plan are for verified nonprofits. Prices are stated exclusive of tax; applicable tax is calculated at checkout (decision D13).
  • A subscription renews at the end of its term — monthly or yearly, as bought — at the price you bought it at, unless you cancel or change it before the renewal. A change to the published prices applies to new purchases; it does not reprice a subscription you already hold. The one change to a live subscription's price is the nonprofit switch below, which you confirm. We do not offer permanent pricing: a subscription ends when it is cancelled or not renewed. If we ever needed to change the renewal price of a subscription you already hold, we would email the organisation's owners at least 30 days before the renewal on which it would apply, and you could cancel before then; as of this version the product has no way to do so.
  • The founding offer (decision D09): the first one hundred verified nonprofit organisations may buy a first year of Mission at the founding price, renewing at the ordinary nonprofit annual price; it is one founding offer per legal entity, identified by its EIN, and cannot be claimed again by re-registering.

Nonprofit verification and the nonprofit price

  • Verification is optional. It unlocks the nonprofit price and Community; it is never needed to use eScryber. Verification is reviewed within the period published on the verification page; if we cannot meet it we say so there rather than let it pass silently (decision D15).
  • Buying at the nonprofit price before verification is approved saves a payment method and charges nothing until it is. If verification is declined or lapses, or is not approved within 30 days, the subscription is cancelled and the saved method is released with nothing charged (decision D14). You may instead buy at the standard price at any time.
  • A verified nonprofit on a standard-price term may switch to the nonprofit price. You confirm the switch, having been shown the date and the next charge, and it takes effect at your next renewal: the current term is not shortened, refunded or reset (decision D22).

7. Your content and our licence to it

Your documents, recipients' entries and signatures are yours (or your recipients'). You give us only the licence needed to store, render, deliver, stamp and return them and to produce audit trails and certificates. We do not use your document content to train models or for any purpose other than providing the service.

8. Availability and support

We aim to keep the service available and we monitor it, but we do not promise uninterrupted availability. Planned maintenance is announced in advance where practical. Support is by email at support@escryber.com during the hours published there. No service-level commitment — no uptime figure and no response time — is offered on any plan, including Network, unless a signed Network agreement states one.

9. Your data: export, deletion and retention

Owners and admins can export the organisation's complete data at any time. Retention and deletion follow the published retention and deletion and export policies, which form part of these terms. We make no claim of indefinite retention; when a retention window applies it is published before it takes effect.

10. Confidentiality and security

We treat your content as confidential and protect it as described in the security policy. Our personnel access it only to provide, secure or support the service, and every privileged access is recorded.

11. Third parties

We use the subprocessors listed in the subprocessor list. Integrations you connect yourself — Microsoft OneDrive/SharePoint, DocuSign import, webhooks, API tokens — send your data where you point them, under your instructions.

12. Warranties and liability

The service is provided as described in these terms and the linked policies. Except as stated, it is provided without other warranties. Neither party is liable for indirect or consequential loss. eScryber's total liability under this agreement is limited to the fees you paid in the twelve months before the claim, except where the law does not allow that limit.

13. Term and termination

These terms apply while you have an account. You may cancel at any time; cancellation takes effect at the end of the billing period. We may terminate for material breach after notice, or immediately for serious abuse. After termination you have the period stated in the deletion and export policy to export your data before it is deleted.

14. Changes

We may update these terms. Each version carries a number and an approval date; material changes are notified to organisation owners by email before they take effect, and continuing to use the service after that date is acceptance.

15. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute that cannot be settled between us is brought in the state or federal courts sitting in Sacramento County, California, and each party accepts their jurisdiction.
